Governance
As a company with a Board of Corporate Auditors, the Board of Directors consists of six directors (including two independent outside directors), and an executive officer system has been introduced to separate management oversight from business execution. An Internal Control Committee, Management Committee, and Information Committee have been established to ensure prompt decision-making and an effective supervisory framework.
Risk Management
Based on the Risk Management Regulations, the Internal Control Committee (held five times a year) updates the risk map twice a year to identify and assess company-wide risks. Sustainability risks are also managed collectively by the same committee, with a framework in place to report results to the Board of Directors as needed.
Shareholder Returns
The basic policy is stable dividends paid twice a year (interim and year-end). The annual dividend for FY2026 (ending March 2026) is ¥20 per share (¥10 interim, ¥10 year-end), with total dividends of ¥97 million. The same ¥20 annual dividend is forecast for FY2027 (ending March 2027). Share buybacks can be implemented flexibly by resolution of the Board of Directors as provided in the Articles of Incorporation.
Dividend Policy
While practicing cash-flow-focused management and building up internal reserves, the company aims to pay stable and continuous dividends from retained earnings to shareholders. The basic policy is to pay dividends twice a year, interim and year-end. For the time being, the company will focus on rebuilding its earnings model, and once it can secure an appropriate earnings base, it will pursue a dividend policy that gives consideration to the payout ratio. The annual dividend for FY2026 (ending March 2026) is ¥20 per share (¥10 interim, ¥10 year-end), with total dividends of ¥97 million (net asset dividend ratio of 1.6%). An annual dividend of ¥20 (¥10 interim, ¥10 year-end) is forecast for FY2027 (ending March 2027) as well.
ESG
The company has identified "Product Development," "Appropriate Inventory Management," and "Human Resource Development" as three materiality issues and is promoting initiatives toward achieving the SDGs. Results for FY2026 (ending March 2026) disclosed include a sustainable product development ratio of 7.1% (target: 10% by FY2030), a female ratio of 24% among assistant manager-level and above positions (target: 25% or higher), and a male childcare leave uptake rate of 50%, among others.
