Governance
The company transitioned to an audit and supervisory committee structure in June 2022. The board consists of 7 directors (including 3 outside directors, all of whom serve on the audit and supervisory committee), and all outside directors qualify as independent. The board of directors met 8 times during the fiscal year, with a 100% attendance rate for all members.
Risk Management
The company has articulated structural reforms to address competitive risk in the Automobile Sales business, as well as measures to address risk under the Large-Scale Retail Store Location Act in the Real Estate Utilization business. An internal audit department reporting directly to the Representative Director has been established, and a framework has been put in place to periodically review the status of internal control and internal audit at subsidiaries as well. Sustainability-related risks are discussed and prioritized by the Board of Directors.
Shareholder Returns
Continuing stable dividends with a target payout ratio of 50% or more. The dividend per share for FY2026 (ending March 2026) is ¥5 (total dividend amount ¥76 million, payout ratio 36.8%). A dividend of ¥5 per share is also planned for FY2027 (ending March 2027). Flexible share buybacks are also explicitly stated as a policy under consideration.
Dividend Policy
The company aims for a payout ratio of 50% or more and continues stable dividends by comprehensively taking into account business performance trends, financial condition, and other factors. The basic policy is a year-end dividend paid once annually; the dividend per share for FY2026 (ending March 2026) is ¥5 (resolved by the Board of Directors on May 14, 2026), and a dividend of ¥5 per share is also planned for FY2027 (ending March 2027). Flexible share buybacks are also under consideration.
ESG
Established a basic sustainability policy, building a company-wide promotion framework through board-level discussions on long-term strategy and a dedicated sustainability promotion team. On the human capital front, the company has adopted a policy of respecting employee diversity and creating a rewarding work environment, achieving a 100% utilization rate for its work-from-home program. The company disclosed that it currently has no material quantitative indicators or targets related to climate change and similar matters.
