Shinyei Corporation is a general trading company group (10 consolidated companies) founded in 1887 and originating in Kobe. Its food-related business, which accounts for approximately 80% of net sales, handles the wholesale of frozen vegetables, frozen prepared foods, and agricultural products both domestically and internationally, with the food service industry, medical and long-term care facilities, and mass retailers as its main customers. In its materials-related business, the company handles the wholesale and export of metals, machinery, building materials, and disaster-prevention equipment, while its electronics-related business manufactures and sells sensors, measuring instruments, and testing equipment. In its business development segment, it is nurturing apparel mail-order sales, food exports, and new business development. The company has subsidiaries both domestically and overseas, with bases in the United States, China, Malaysia, and other locations.

Business Model

In the mainstay food-related business, the company builds and manages its own supply chain spanning production to logistics management, and leverages its quality control system as a strength to sell into high quality-requirement channels such as medical and long-term care facilities, thereby securing a stable profit margin. In the materials-related business, exports benefiting from yen depreciation and overseas disaster-prevention projects supplement earnings, while in the electronics-related business—the only segment with manufacturing capabilities—the company is shifting toward the development and sale of high value-added products. The company accumulates profits across each segment while maintaining financial discipline that pursues both reduction of interest-bearing debt and improvement of the equity ratio in parallel.

Company Strengths

The company has built and manages its own supply chain from production to logistics management, continuously expanding sales to routes with high quality control requirements, such as those for medical and elderly care facilities. In FY2026 (ending March 2026), food-related sales reached ¥34,870 million (up 8.9% year on year), and segment profit reached ¥2,148 million (up 14.0% year on year), achieving growth in both revenue and profit, demonstrating the sustainability of its competitive advantage through actual results.

Interest-bearing debt balance was reduced to ¥12,023 million at the end of FY2026 (ending March 2026), a significant reduction from ¥15,604 million at the end of FY2019. The consolidated equity ratio rose 5.0 percentage points year on year to 36.9%, achieving the medium-term management plan target of 35% or higher. The company has achieved both profit generation and improved financial soundness while making use of sales of investment securities and fixed assets.

In December 2021, the company concluded a capital and business alliance with Mediceo Holdings Co., Ltd. (now Medipal Holdings Corporation). The alliance aims to enhance the sophistication of distribution functions and build a distribution system for prescription pharmaceuticals and other products, as well as to collaborate in the food-related business, and also involves a capital tie through a third-party allotment of new shares. Alliance synergies are also spreading to the electronics-related business, including securing stable demand for absorption spectrophotometric moisture measurement instruments in the pharmaceutical logistics field.

The medium-term management plan "Shinyei Challenge Project 2026" targets a cumulative consolidated ordinary income of ¥5,500 million or more over three years. The sum of ¥1,431 million for FY2025 (ended March 2025) and ¥1,725 million for FY2026 (ending March 2026) totals ¥3,156 million. Adding the final-year (FY2027, ending March 2027) forecast of ¥1,800 million brings the cumulative total to ¥4,956 million, leaving an expected shortfall of approximately ¥544 million against the target. The key focus will be the extent to which increased revenue and profit in other segments can offset the decline in revenue and profit resulting from the withdrawal from the capacitor business.

Profit attributable to owners of parent of ¥1,346 million for FY2026 (ending March 2026) includes extraordinary gains totaling ¥598 million, comprising a gain on sale of investment securities of ¥519 million and a gain on sale of fixed assets of ¥79 million, while an extraordinary loss of ¥233 million related to the restructuring of the capacitor business was also recorded. As no gains on sale of investment securities, etc. are anticipated for FY2027 (ending March 2027), the net profit forecast stands at ¥1,250 million, representing an expected decline of 7.2%. While the ordinary income trend remains one of growth, continued attention is warranted regarding the quality and sustainability of net profit.

In the food-related segment, rising import costs driven by the trend of yen depreciation (external factor) have become a structural factor pressuring profitability. During the period under review, however, flexible price adjustments enabled the segment to maintain a stable profit margin, with segment profit reaching ¥2,148 million (up 14.0% year on year). In the agricultural products field, despite the continued upward trend in nut prices (external factor), the company accurately captured market needs and achieved substantial growth in both revenue and profit, confirming that pricing pass-through capability and procurement strength function as the company's own inherent strengths. That said, developments in U.S. trade policy and the escalation of tensions in the Middle East (external factors) remain sources of ongoing uncertainty.

Growth Strategy

Toward the final year of the mid-term plan, the company is renewing its earnings structure through expansion of food wholesale, upgrading to higher-value-added electronics, and withdrawal from the capacitor business

In the domestic frozen food business, the company is leveraging its robust supply chain to promote product development and expand procurement and sales routes, securing a foundation for sustainable and stable growth. In FY2026 (ending March 2026), sales reached ¥34,870 million and segment profit reached ¥2,148 million, up 8.9% and 14.0% year-on-year respectively, and the plan is progressing steadily.

The company decided in April 2026 to withdraw from the capacitor business, which had continued to post losses for many years. It has already recorded a business restructuring loss of ¥233 million (fixed asset impairment loss of ¥67 million and provision for business restructuring loss of ¥166 million). Shinyei Capacitor Co., Ltd. and Shinyei Kaisha Electronics(M)SDN.BHD. are scheduled to be dissolved after completion of the withdrawal. The remaining Electronics-related Business will shift toward high-value-added products for the industrial, logistics, and pharmaceutical logistics fields to improve profitability.

The company aims to maintain and expand its earnings base by exporting Japan's excellent technologies and products, including providing solutions related to social infrastructure in Azerbaijan. In FY2026 (ending March 2026), a new local survey project was launched in the Overseas Disaster Prevention-related Business field, achieving significant increases in both sales and profit. Segment-wide sales were ¥3,894 million (up 2.2% year-on-year) and profit was ¥461 million (up 5.4% year-on-year).

The company targets cumulative consolidated ordinary profit of ¥5,500 million or more over the three years from FY2025 (ending March 2025) to FY2027 (ending March 2027). The two-year cumulative total of ¥1,431 million in FY2025 (ending March 2025) and ¥1,725 million in FY2026 (ending March 2026) amounts to ¥3,156 million. Adding the FY2027 (ending March 2027) forecast of ¥1,800 million brings the three-year cumulative total to ¥4,956 million, indicating an expected shortfall of approximately ¥544 million against the target. An upside surprise in the final year will be key to achieving the target.

The company continues to reduce a portion of its cross-shareholdings, recording a gain on sale of investment securities of ¥519 million in FY2026 (ending March 2026). Targeting a consolidated dividend payout ratio of around 30%, the company raised its dividend per share to ¥110 (payout ratio of 32.0%) in FY2026 (ending March 2026). For FY2027 (ending March 2027), taking into account the company's 140th anniversary, the same amount of ¥110 is planned. The dividend on equity ratio is maintained at 4.4%.
