GVA TECH, Inc. was founded in 2017 as a legal tech company with the purpose of "removing the barriers between law and all activities." Its core businesses consist of two pillars: the LegalTech SaaS business, which provides "OLGA," an AI-powered legal automation SaaS for legal departments, and the registration business, which supports startups and small-to-medium enterprises with commercial registration change applications, registry retrieval, and trademark filings. The company listed on the Tokyo Stock Exchange Growth Market in December 2024. Its main customers are mid-sized and large enterprises with legal departments (OLGA) and startups and SMEs without legal functions (registration business), and it offers a suite of products that address legal challenges regardless of company size.

Business Model

The LegalTech SaaS business operates a stock-type revenue model based on OLGA's monthly usage fees (subscriptions based on the number of active accounts, etc.) and initial implementation fees. The registration business operates a transaction-type revenue model based on per-procedure service usage fees and optional charges for GVA Corporate Registration, GVA Registry Retrieval, and GVA Trademark Registration. For FY2025 (ending December 2025), sales composition was ¥816 million (up 36.4% year on year) for the LegalTech SaaS business and ¥668 million (up 17.7% year on year) for the registration business.

Company Strengths

ARR for the LegalTech SaaS business expanded from ¥696 million at the end of December 2024 to ¥830 million at the end of December 2025. Average customer unit price also rose from ¥93 thousand to ¥120 thousand over the same period. Average unit price for customers using multiple modules reached ¥236 thousand, demonstrating actual results showing room for unit price improvement through cross-selling.

The cumulative number of companies using GVA Corporate Registration expanded from 23,910 companies at the end of December 2024 to 30,422 companies at the end of December 2025. In a customer survey, approximately 90% indicated intent to reuse the service, and the correction rate of 9.8% demonstrated high quality, significantly below the Ministry of Justice's target value of 20.4%. This customer base serves as a foundation for horizontal expansion of new products.

Selling, general and administrative expenses were contained at ¥1,216 million (down 4.8% year on year). In-house transition of outsourcing costs and a review of advertising expense cost-effectiveness were effective, narrowing the operating loss from ¥523 million in the previous period to ¥302 million. Negative operating cash flow also improved significantly from ¥297 million in the previous period to ¥17 million.

ENVALITH's Perspective

Operating loss of ¥56 million in Q1 FY2026 (ending December 2026) narrowed 38% year-on-year. Against the full-year earnings forecast (operating profit of ¥31 million), the loss margin for Q1 alone has contracted significantly, and management has noted that each business is growing at a pace exceeding the plan. However, achieving full-year profitability requires accumulating approximately ¥87 million in profit over the remaining three quarters, premised on an acceleration of earnings in the latter half.

Cash and deposits at the end of March 2026 stood at ¥205 million, down ¥285 million from ¥490 million at the end of December 2025 within a single quarter. Against total assets of ¥1,286 million, the equity ratio remained at a low 15.6% (17.5% at the previous fiscal year-end). The long-term borrowings balance (current and fixed portions combined) remains substantial at ¥679 million, and continued attention is warranted regarding the stability of cash flow management.

As an external factor, the domestic SaaS market is expected to expand to a scale of ¥2.88 trillion by 2027, which is anticipated to boost underlying demand for legal tech. On the other hand, the growing adoption of generative AI carries the risk of intensifying competition with major IT vendors and law-firm-affiliated startups. In addition, regulatory risks under Article 72 of the Attorney Act and the Judicial Scrivener Act remain a structural constraint on the expansion of the business domain.

Growth Strategy

Three pillars: structural transformation toward legal AX, deepening enterprise penetration, and expansion into the lawyer market

Strengthening API integration with external systems, centered on integration with Salesforce's AI agent "Agentforce." Aiming to reduce churn and increase ARPU through deep embedding into enterprise customers' business workflows.

A consulting service that supports customers' legal AX (AI transformation) through prompt design and workflow construction. Aims to achieve higher unit prices and improved LTV by combining this with SaaS.

Full-scale deployment of "Benpal Document Drafting" and "Benpal Contract Review," aiming to achieve AX across the entire scope of legal practice. Seeks to acquire new customers in the previously untapped legal professional segment.

By expanding products into legal-adjacent business areas beyond registration and trademark procedures, and diversifying customer acquisition channels, the company aims to simultaneously improve LTV within its existing customer base (over 30,000 companies cumulatively) and develop new customer segments.
