Governance
The company operates as a company with an audit and supervisory committee, comprising 11 directors (5 of whom are outside directors). A voluntary nomination and compensation committee was established in April 2021, and a multi-layered governance framework has been developed, including a risk management committee, a compliance committee, and a sustainability committee.
Risk Management
The Risk Management Committee prepares and reviews a "risk map" each fiscal period, selects priority risks to address, and formulates and updates the "Basic Risk Management Plan" with Board of Directors approval. Sustainability, human capital, and climate change risks are each overseen by dedicated specialized committees, establishing an integrated management framework in which reports are made to the Board of Directors via the Risk Management Committee.
Shareholder Returns
For FY2026 (ending March 2026), a dividend of ¥20 per share will be paid (payout ratio 41.5%). For FY2027 (ending March 2027), an increase to ¥23 per share is planned (target payout ratio 20.5%). During the period under review, share buybacks (¥48 thousand) were conducted.
Dividend Policy
The Company will continue to pay stable dividends, taking into account business results and future prospects comprehensively while securing internal reserves to strengthen its financial position and support future business development. During the medium-term management plan period, the Company aims for a consolidated payout ratio target level of 20% and will strive to enhance shareholder returns in line with business growth. For FY2026 (ending March 2026), a dividend of ¥20 per share (total dividends of ¥456 million, payout ratio 41.5%) will be paid. For FY2027 (ending March 2027), a dividend of ¥23 per share (payout ratio 20.5%) is planned.
ESG
Steady progress on environmental targets: total CO₂ emissions reduced by 31.8% versus FY2015 (exceeding the 30% target), the ratio of resource-managed surimi usage reached 94.9%, and the food waste recycling rate reached 99.1%. On the human capital side, the ratio of female managers stood at 5.3% (against a 2030 target of 15%), the male childcare leave take-up rate was 62.5%, and climate change scenario analysis based on TCFD recommendations was also conducted. In June 2025, the company established a Human Rights Policy, Basic Environmental Policy, and Sustainable Procurement Policy.
