Company with an Audit and Supervisory Committee (transitioned to this structure in 2019). The Board of Directors consists of 7 members (including 3 outside directors), and in June 2025 the company introduced an executive officer system to strengthen the separation of oversight and business execution functions. A Risk Management Committee and Compliance Committee have also been established.
Risk Management
Established a Risk Management Committee comprising the president and all full-time officers to assess, manage, and formulate countermeasures for company-wide risks. Formulated the "Crisis Management General Manual" and the "Crisis Management Product Manual," and developed a system for establishing a countermeasure headquarters according to the crisis level in the event of a crisis. Recognizing dependence on China (approximately 40% of handled products) as a key risk, the company is promoting diversification of production bases to Thailand, Vietnam, and other locations.
Shareholder Returns
The basic policy is a single year-end dividend once per year; for FY2026 (ending March 2026), the company paid ¥60 per share (total dividends of ¥354 million, payout ratio of 73.1%). For FY2027 (ending March 2027), the same amount of ¥60 is planned (forecast payout ratio of 67.0%). The company also conducted a share buyback (¥99 million) during the period.
Dividend Policy
While giving due consideration to securing sufficient internal reserves for strengthening the company's management foundation and future business development, the company returns profits to shareholders taking into account its business results and financial position. The basic policy for dividends of surplus is a single year-end dividend once per year, with the dividend decided by the shareholders' meeting. Interim dividends are permitted under the Articles of Incorporation but are not paid in principle. For FY2026 (ending March 2026), the actual dividend was ¥60 per share (payout ratio of 73.1%, dividend on equity ratio of 4.0%), and for FY2027 (ending March 2027), the forecast dividend is also ¥60 per share (forecast payout ratio of 67.0%).
ESG
Guided by the corporate philosophy of "safety and security," the company has established quality management, respect for human rights, human resource development, and legal compliance as key materialities. On climate change response, the policy is to set decarbonization targets jointly with suppliers, though quantitative targets have not yet been established. In terms of human capital, the company discloses a 10.0% ratio of women in management positions and is promoting women's leadership development.
