Company with an Audit and Supervisory Committee. The Board of Directors comprises 9 directors (3 outside directors, of whom 2 are Audit and Supervisory Committee members), with all members achieving 100% attendance at Board meetings. The Company has established a voluntary Nomination and Compensation Committee (a majority of whose members are independent outside directors) and a Sustainability Committee to ensure sound and transparent management.
Risk Management
Based on the "Crisis Management Regulations" established in October 2001, the company has developed a risk management framework. In the event of an emergency, a "Crisis Management Committee," centered on five internal directors and the presidents of each group company, is established to respond in accordance with the "Crisis Management Response Manual." Sustainability-related risks are evaluated and discussed by the Sustainability Committee, with a framework in place to report to the Board of Directors as necessary.
Shareholder Returns
The company pays dividends twice a year (interim and year-end). For FY2027 (ending February 2027), it forecasts an annual dividend of ¥15 per share (¥7.50 interim, ¥7.50 year-end). The previous fiscal year's actual result was the same ¥15 (no commemorative dividend). The articles of incorporation provide for flexible share buybacks.
Dividend Policy
The basic policy is to distribute profits commensurate with the company's growth, while taking into account human capital development and internal reserves, through dividends paid twice a year (interim and year-end). The actual result for FY2026 (ended February 2026) was an annual dividend of ¥15 per share (¥7.50 interim, ¥7.50 year-end). The forecast for FY2027 (ending February 2027) is also an annual dividend of ¥15 per share (¥7.50 interim, ¥7.50 year-end), unchanged from the previous fiscal year. No numerical target for the payout ratio has been disclosed.
ESG
Under the Sustainability Basic Policy established in November 2021, the company addresses seven priority issues spanning Environment (50% reduction in food waste vs. 2019, 46% reduction in CO₂ emissions vs. 2013), Society (raising the ratio of female managers to 30% by 2030, employment of 443 foreign nationals from 7 countries), and Governance (permeation of corporate philosophy, group management). The company has obtained certification as an "Excellent Health Management Corporation 2025 (SME Category)" and is also advancing human capital management initiatives, including the establishment of a Center for Women's Empowerment and efforts to raise the rate of male employees taking childcare leave.
