Governance
Company with a Board of Corporate Auditors. Composed of 7 directors (including 2 outside directors, an outside ratio of approximately 28.6%) and 4 corporate auditors (including 2 outside auditors). In addition to monthly regular Board of Directors meetings, the company has established a Risk and Compliance Management Committee that meets quarterly and an Executive Committee that meets monthly, ensuring transparency and soundness of management.
Risk Management
The quarterly Risk and Compliance Management Committee aggregates risks from each headquarters and group companies and discusses countermeasures, with a system in place whereby matters affecting the entire group are decided by the Board of Directors. The company has formulated a crisis management manual, developed a Business Continuity Plan (BCP), implemented cyberattack countermeasures (system reinforcement and employee training), and stipulated the establishment of a response headquarters headed by the President in the event of unforeseen incidents.
Shareholder Returns
Target payout ratio of approximately 10-15% based on stable dividends. For FY2026 (ending March 2026), a dividend of ¥45 per share (total dividends of ¥208 million, payout ratio of 11.8%) was implemented. A dividend of ¥45 per share is also forecast for FY2027 (ending March 2027). No mention of share buybacks.
Dividend Policy
Policy of flexible shareholder returns based on a foundation of stable dividends. Target payout ratio of approximately 10-15%. For FY2025 (ending March 2025), an ordinary dividend of ¥15 plus a special dividend of ¥27, totaling ¥42 (total dividends of ¥194 million, payout ratio of 11.1%), was implemented. For FY2026 (ending March 2026), an ordinary dividend of ¥45 (total dividends of ¥208 million, payout ratio of 11.8%) was implemented. The forecast year-end dividend for FY2027 (ending March 2027) is ¥45 per share (forecast payout ratio of 14.9%).
ESG
On the environmental front, the company is working on reducing food loss, introducing solar power generation, adopting EVs, and reducing CO2 emissions through satellite logistics. On the social front, it promotes diverse talent recruitment, community contribution, and health-oriented management, and formulated its personnel, human capital, and development policies in March 2026. On the governance front, it has established an internal audit department, an internal whistleblower system, and conducts compliance training for all employees.
