Governance
The company has an Audit and Supervisory Committee structure. The Board of Directors consists of 9 members (including 4 outside directors), and a voluntary Nomination and Compensation Advisory Committee has been established. The Board of Directors meets 12 times per year, and all members maintain a high attendance rate.
Risk Management
The Company has established the "Risk Management Regulations" and set up a Compliance and Risk Management Committee chaired by the Head of the Corporate Management Division. A system has been put in place whereby sustainability personnel identify and assess risks and report to the Board of Directors as necessary.
Shareholder Returns
For FY2026 (ending March 2026), the year-end dividend per common share is ¥20 (doubled from ¥10 in the previous fiscal year), with a payout ratio of 11.8%. A dividend of ¥20 is also forecast for FY2027 (ending March 2027). Share buybacks totaling ¥1,513 million were carried out in FY2026 (recorded under financing activities cash flow). All First Series Preferred Shares were acquired and retired in June 2025.
Dividend Policy
The basic policy is to provide shareholders with long-term, stable dividends and profit distribution. The dividend amount is determined based on performance while taking the payout ratio into consideration, with the principle being a year-end dividend paid once annually. For FY2026 (ending March 2026), the annual dividend per common share is ¥20 (payout ratio of 11.8%, dividend on equity ratio of 4.1%). A dividend of ¥20 is also forecast for FY2027 (ending March 2027) (payout ratio of 10.4%).
ESG
The company has identified five materiality issues (contribution to the global environment, food safety and security, growth and diversity of human resources, contribution to local communities, and strengthening of management foundations). It has set targets to reduce CO2 emissions by 50% per unit on a comparative basis with FY2020 by FY2030, and to raise the ratio of female managers to 30% by FY2026, and has also obtained certification as a Health & Productivity Management Outstanding Organization 2026 (Large Enterprise Category).
