Governance
The company is a company with an Audit and Supervisory Committee, and has established a Board of Directors, an Audit and Supervisory Committee, and an accounting auditor. Three outside directors (all of whom are members of the Audit and Supervisory Committee) exercise voting rights, and a voluntary Nomination and Compensation Advisory Committee has been established to ensure objectivity and transparency in appointments/dismissals and compensation.
Risk Management
The company has established the "Company-wide Risk Management Regulations," systematizing the identification, assessment, monitoring, and response to risks. Risks are comprehensively managed using a risk map, with material risks reported to the Board of Directors, while the Compliance and Risk Management Committee maintains a framework for agile response.
Shareholder Returns
The annual dividend for FY2026 (ending March 2026) is ¥32 per share (year-end lump sum), with total dividends of ¥329 million and a payout ratio of 16.2%. The same ¥32 dividend is forecast for FY2027 (ending March 2027). During the fiscal year, the company conducted share buybacks totaling ¥431 million (equivalent to 145,665 shares repurchased).
Dividend Policy
The basic policy is to pay dividends twice a year, an interim dividend and a year-end dividend; however, for FY2026 (ending March 2026), a year-end lump-sum dividend of ¥32 (total dividends of ¥329 million, payout ratio of 16.2%) was implemented, an increase of ¥2 from the previous fiscal year (¥30). The same ¥32 dividend is forecast for FY2027 (ending March 2027) (payout ratio expected to be 25.3%). The policy is to allocate internal reserves to capital expenditure, research and development, and strengthening the financial structure.
ESG
The company established a Sustainability Committee under its Sustainability Basic Policy formulated in 2022. CO₂ emissions (per unit of production) were reduced by 24.7% in FY2025 compared to FY2019, achieving the FY2030 target ahead of schedule. The company is pursuing environmental initiatives on multiple fronts, including reducing plastic usage (down 17.3% in FY2025), improving the food recycling rate, obtaining ISO14001 certification at all plants, introducing renewable energy, and promoting a modal shift. On the human capital side, the company is advancing initiatives such as renewing its personnel system to a role-based merit system, continuing engagement surveys (rated B in FY2025), maintaining a disabled employment rate of 2.98% (against a target of 3%), and establishing a DE&I Promotion Committee.
