Governance
The company has adopted a company-with-three-committees structure. The board of directors consists of five members (of which three are outside directors, an outside director ratio of 60%), with Nomination, Compensation, and Audit Committees in place. The Audit Committee comprises three outside directors only, ensuring a clear separation of oversight and execution.
Risk Management
The Company has established a risk management structure with the legal affairs department serving as the responsible department, and the Risk Management Committee comprehensively identifies and manages company-wide risks. The Internal Control Office operates internal audits and an internal whistleblowing system, and the Company has obtained ISMS certification to strengthen its information security framework.
Shareholder Returns
Continuing a no-dividend policy (annual dividend forecast of ¥0 for both FY2025 (ending December 2025) and FY2026 (ending December 2026)). Meanwhile, the company has been conducting share buybacks, acquiring 1,422,100 shares in the first quarter under review. It also retired 28,621,500 treasury shares as of March 31, 2026.
Dividend Policy
