Governance
Company with an Audit and Supervisory Committee. As of the filing date of the Annual Securities Report, the board comprises 10 directors, of whom 7 are outside directors (outside director ratio of 70%). A Nomination Committee and a Compensation Committee have been voluntarily established, each composed of a majority of non-executive directors. Following the ordinary general meeting of shareholders in September 2025, the board is scheduled to consist of 8 directors, including 6 outside directors.
Risk Management
The Internal Audit Department consolidates risk factors, which are then identified and evaluated by the Internal Control Committee. The Sustainability Committee annually organizes a risk catalog linked to materiality items, establishing a framework to assess frequency of occurrence, impact, and the status of risk controls. Each group company has established a compliance meeting that reports on the status of risk management on a monthly basis.
Shareholder Returns
Progressive dividends with a target consolidated payout ratio of 60% or more, paid semi-annually. Actual dividend for FY2025 (ended June 2025) was ¥75 (interim ¥30 + year-end ¥45), and the forecast for FY2026 (ending June 2026) is an increase to ¥85 (interim ¥35 + year-end ¥50). Share buybacks of ¥3,983 million have already been executed during the current period.
Dividend Policy
The basic policy is to pay stable dividends while taking business performance into account. Dividends are paid twice a year (interim and year-end) with a target of progressive dividends and a consolidated payout ratio of 60% or more. Dividends of surplus are determined by resolution of the Board of Directors. The annual dividend forecast for FY2026 (ending June 2026) is ¥85 (interim ¥35 + year-end ¥50 planned), an increase of ¥10 year-on-year.
ESG
Formulated a sustainability basic policy centered on the purpose "Toward a society where each individual's potential is unlocked through fulfilling work." Identified 10 materiality items, advancing human capital initiatives (setting OPI indicators), climate change measures (targeting Net Zero for Scope 1 and 2 by 2030), diversity promotion, and TCFD response. Established a system in which the Sustainability Committee reports regularly to the Board of Directors.
