Governance
The company is structured as a company with an audit and supervisory committee, with a board of 10 directors, of which 5 are outside directors. It has established a Nomination Advisory Committee, a Compensation Advisory Committee, and a Sustainability Committee, and separates decision-making and oversight from business execution through an executive officer system.
Risk Management
Based on the "Basic Regulations for Risk Management," the company has established a Risk Management Committee chaired by the officer in charge of internal control. A crisis management manual and BCP (Business Continuity Plan) have been formulated, and the Sustainability Committee is responsible for identifying and assessing sustainability risks, including climate change, and deliberating countermeasures.
Shareholder Returns
The company has set a dividend policy targeting a total payout ratio of 50% or more and DOE of 4.0% or more, providing stable and sustainable shareholder returns. The annual dividend per share for FY2026 (ending March 2026) is ¥183 (interim ¥87, year-end ¥96), and ¥186 (interim ¥93, year-end ¥93) is planned for the following FY2027 (ending March 2027). Share buybacks were also conducted (¥744 million for the current period).
Dividend Policy
The basic policy is a total payout ratio of 50% or more and DOE of 4.0% or more, determined by comprehensively taking into account business performance and future outlook. FY2026 (ending March 2026) actual: annual dividend per share of ¥183 (interim ¥87, year-end ¥96), total dividends of ¥1,929 million, payout ratio of 50.1%. FY2027 (ending March 2027) plan: annual dividend per share of ¥186 (interim ¥93, year-end ¥93), payout ratio planned at 50.1%. The dividend policy will be reviewed if unexpected changes occur in the future business environment or performance.
ESG
The company expressed support for the TCFD recommendations in November 2023 and disclosed its climate change risk and opportunity analysis. It has set 18 KPIs across the three areas of Environment, Social, and Governance, and is working on human capital development, promotion of diversity (female employee ratio of 14.9%, female manager ratio of 8.9%), and improvement of work-life balance.
