Governance

As a company with an audit and supervisory committee, the company has appointed four outside directors (three of whom are independent officers) and has established a Risk Management Committee (chaired by an external attorney) and a Compliance Committee (composed of four external experts), both reporting directly to the Board of Directors. The company continues to build out its internal control system based on an improvement plan for internal management systems developed in response to past instances of improper accounting.

Risk Management

Under the Risk Management Regulations, the Company has established a Risk Management Committee chaired by an external attorney to identify, prevent, and respond to risks. Material risks, including sustainability-related risks, are deliberated by the Risk Management Committee before being reported to the Board of Directors. In the event of an emergency, an Emergency Response Headquarters headed by the President is established.

Shareholder Returns

For the fiscal year under review, the Company paid no dividend due to deteriorated business performance. The dividend policy is based on a single year-end dividend in principle, with profit distribution to shareholders determined in consideration of business trends and internal reserves. Under the Articles of Incorporation, provisions are in place permitting the acquisition of treasury stock and the payment of interim dividends.

The company has set "reducing greenhouse gases, building a disaster-resilient society, and realizing a hygienic society" as management goals, contributing to a decarbonized society through PPA business promotion, in-house operation of solar power generation facilities, and introduction of energy-saving equipment. Endorsing the 2050 carbon neutrality declaration, it targets ¥1.1 billion in sales through proposals for energy conservation, hygiene management, and disaster countermeasures, with FY2026 results at ¥793 million. On the human capital front, the company discloses a female manager ratio of 33.3% (target: 35.0%) and 30 e-learning enrollments (target: 40).
