Governance
The company employs an Audit & Supervisory Board structure. It has appointed 3 outside directors and 2 outside audit & supervisory board members (5 independent officers), and has established an Internal Control Committee and an Audit Office reporting directly to the Board of Directors. During the fiscal year under review, the Board of Directors met 14 times, with all directors attending every meeting.
Risk Management
The Company has established the Basic Risk Management Regulations to build a system for preventing risks and responding quickly and appropriately after risks materialize. The Audit Office audits risk information for the Company and its subsidiaries, and an advisory agreement with outside counsel has been established to obtain legal advice as necessary.
Shareholder Returns
The basic policy is to maintain stable dividends while pursuing proactive shareholder returns in line with business performance. The dividend per share for FY2025 (ending June 2025) is planned at ¥10 (an increase from ¥8 in the previous period). Under the Articles of Incorporation, share buybacks can be flexibly implemented by resolution of the Board of Directors.
Dividend Policy
The basic policy is to secure a stable management foundation and work to improve ROE, while maintaining the continuation of stable dividends and proactively returning profits to shareholders in line with business performance. Dividend per share history: ¥5 for FY2023 (ended June 2023) → ¥8 for FY2024 (ended June 2024) → ¥10 (planned) for FY2025 (ending June 2025).
ESG
The company is working to reduce environmental impact through the proposal and sale of energy-saving and resource-saving kitchen equipment, while also promoting human capital diversity, including advancing the active participation of female employees and establishing childcare support systems. Against a target of 5.0% for the ratio of female managers by March 2030, the current figure stands at 1.9%, and against a target of 80.0% for the gender pay gap ratio, the current figure stands at 70.0%; efforts toward achieving these targets are ongoing.
