Governance
As a company with a board of corporate auditors, the company is composed of a Board of Directors, a Board of Corporate Auditors, and a Management Committee. The Board of Directors comprises 2 members (including 1 outside director), and all 3 corporate auditors are outside auditors. An executive officer system has been introduced to enable swift decision-making and strengthen management oversight functions.
Risk Management
Based on the Risk Management Regulations, each department individually identifies and manages risks, with department heads reporting to the Board of Directors and the Board of Corporate Auditors as appropriate. The legality of business execution is ensured through regular internal audits by the Audit Office and coordination with the accounting auditor and outside corporate auditors. Note that circumstances exist that raise substantial doubt about the company's ability to continue as a going concern.
Shareholder Returns
For FY2026 (ending March 2026), the company recorded a net loss of ¥1,141 million and continues to omit dividend payments. A shareholder benefit program reserve of ¥64 million has been recorded, indicating the shareholder benefit program remains in place. Share buybacks were minimal, totaling only ¥23 thousand.
Dividend Policy
For FY2026 (ending March 2026), the company did not pay dividends due to recording a net loss of ¥1,141 million. In the prior period (FY2025, ended March 2025), dividends were also omitted due to a net loss of ¥545 million. In FY2024 (ended March 2024), a dividend of ¥15 per share (including a special dividend of ¥5) was paid. Note that this financial results report was corrected as of May 22, 2026; the net loss expanded from the originally announced figure of ¥1,097 million to ¥1,141 million due to additional impairment losses recorded, among other factors.
ESG
In terms of human capital, the company is promoting work-style reforms, the introduction of personnel evaluation systems, and respect for diversity (recruitment and promotion regardless of gender or nationality). On the environmental front, it is working on promoting the reuse of fashion merchandise, adopting FSC®-certified paper packaging, and reducing excessive packaging, and it also positions support for sports and arts/culture as a contribution to the SDGs. However, quantitative indicators and targets have not yet been set at this time.
