Governance

Risk Management

Based on the Risk Management Regulations, risks in each department are centrally managed by the risk management supervisory department. Risks are extracted and evaluated at the Medium-Term Management Plan Committee, held approximately 7 times per year, and reported up to the Management Committee (deliberated twice a year) and the Board of Directors (deliberated once a year and reported once a year). Climate-related risks are managed through the same process, and natural disaster response is handled in three stages: facility measures, emergency measures, and recovery measures.

Shareholder Returns

The basic policy is to maintain stable dividends, with a target consolidated payout ratio of 30% or more. The FY2025 annual dividend is ¥12 per share (interim ¥6, year-end ¥6), with total dividends of ¥824 million and a payout ratio of 39.2%. The same annual amount of ¥12 is planned for FY2026.

The basic policy is to maintain stable dividends, implementing dividends in line with growth by comprehensively considering future-oriented capital investment, financial condition, and medium- to long-term profit levels. Excluding short-term profit fluctuation factors, the company aims for a consolidated payout ratio of 30% or more. Dividends are paid twice a year, interim and year-end, with the Board of Directors as the decision-making body. FY2025 actual results were ¥12 per share annually (payout ratio of 39.2%), and the FY2026 forecast is also ¥12 per share annually.

Under the "Initiatives Toward Carbon Neutrality by 2050" formulated in 2021, the company has set FY2030 targets of 300,000 t/year in CO2 emission reduction contribution and 60,000 kW in renewable energy power handling volume, and as of FY2025 has achieved a 57% reduction in office CO2 emissions compared to FY2013. On the human capital front, the company has largely achieved target levels on diversity and work-style reform indicators as well, including a female hiring ratio of 57.1%, a paid leave utilization rate of 81.1%, and a disability employment rate of 2.8%.
