Governance
Currently a company with a Board of Corporate Auditors (3 outside directors and 3 outside corporate auditors), but the company plans to transition to a company with an Audit and Supervisory Committee at the 55th Annual General Meeting of Shareholders in June 2026. After the transition, the board is expected to consist of 14 directors, including 6 outside directors (all independent). The company has established a Nomination and Compensation Committee (chaired by an independent outside director) and is working to ensure transparency in director appointments and compensation.
Risk Management
The Risk Management Committee meets regularly in accordance with the Risk Management Regulations, conducting risk identification, assessment, and countermeasures for each business and department. All business divisions have formulated BCP action plans, and the company continues to conduct tabletop exercises and safety confirmation drills, while also focusing on strengthening cybersecurity. Climate-related risks are managed in coordination with the Sustainability Committee, and scenario analysis (1.5°C/4°C) based on the TCFD framework has been conducted since FY2025 (ending March 2025).
Shareholder Returns
Continues to target a consolidated payout ratio of 40%. For FY2026 (ending March 2026), the annual dividend is ¥34 per share (interim ¥17, year-end ¥17), with a payout ratio of 43.6%. For FY2027 (ending March 2027), an annual dividend of ¥38 is forecast. No share buybacks during the current fiscal year.
Dividend Policy
The basic policy is to target a consolidated payout ratio of 40%, with dividends paid twice a year (interim and year-end). The company will strive to maintain its financial base while making active investments in priority areas and enhancing shareholder returns. For FY2026 (ending March 2026), the annual dividend is forecast at ¥34 (interim ¥17, year-end ¥17), and for FY2027 (ending March 2027), an annual dividend of ¥38 is forecast.
ESG
The company has established a Sustainability Committee chaired by the President and Representative Director, promoting CO₂ reduction, resource circulation, and TCFD response (scenario analysis). On the human capital front, the company has set KPIs such as a target female manager ratio of 5% (actual: 3.9%) and a male childcare leave take-up rate of 71.8%, and is also working on establishing a human rights policy and promoting diversity. In the traffic safety domain, the company is conducting accident reduction activities utilizing its proprietary KIBACO (Cloud-Based Vehicle Management System) (managing 45,810 vehicles in FY2025).
