Governance

As a company with an Audit and Supervisory Committee, the Board of Directors comprises 11 members in total: 7 directors who are not members of the Audit and Supervisory Committee (2 of whom are outside directors) and 4 Audit and Supervisory Committee members (3 of whom are outside directors). Risk Management

The Compliance & Risk Management Committee, chaired by the President, oversees risk across the entire Group, working in coordination with subordinate organizations and the risk management promotion officers of subsidiaries to implement preventive measures and contingency plans. To ensure safety, the company has established the Company-wide Zero Accidents Promotion Headquarters, and the Business Audit Department conducts regular internal audits as part of the established control system.

Shareholder Returns

Annual dividend for FY2026 (ending March 2026) increased to interim ¥30 and year-end ¥50 (total ¥80). Payout ratio of 39.7%. For FY2027 (ending March 2027), interim ¥40 and year-end ¥40 (total ¥80) are forecast. Share buybacks were also conducted (¥327 million in the fiscal year under review).

Dividend Policy

The basic policy is to pay dividends twice a year, as an interim dividend and a year-end dividend. For FY2026 (ending March 2026), interim dividend was ¥30 and year-end dividend was ¥50 (total ¥80, total dividend amount ¥579 million, payout ratio 39.7%). Note that the year-end dividend was revised upward from the initially planned ¥40 to ¥50. For FY2027 (ending March 2027), interim dividend of ¥40 and year-end dividend of ¥40 (total ¥80, payout ratio forecast at 41.0%) are planned.

ESG

The company has formulated Environmental, Social, and Governance policies, and is working to reduce environmental impact through initiatives such as S-class certification as an excellent energy-saving business operator, CDP response, and Eco Stage certification. On the human capital front, the Diversity & Inclusion Policy and Human Resource Development Policy have been incorporated into the three-year management plan, promoting women's advancement and strengthening occupational health and safety management.
