Governance
The company has adopted an Audit and Supervisory Committee structure (6 directors, of which 3 are Audit and Supervisory Committee members and 2 are outside directors). It has introduced an executive officer system to separate decision-making and oversight functions from business execution functions. A Nomination Committee and a Compensation Committee, both composed of Audit and Supervisory Committee members, have been established as advisory bodies to the Board of Directors to ensure transparency.
Risk Management
The Risk Management Committee, chaired by the President, meets regularly to analyze potential risks and consider countermeasures. A framework is in place whereby, in the event of a significant risk, the President appoints a risk management officer and establishes a risk response office. A Sustainability Committee has also been established to identify and manage sustainability-related risks, including those relating to the environment, human rights, working conditions, and natural disasters.
Shareholder Returns
Continuing semi-annual dividends (interim ¥5, year-end ¥10), the annual dividend for FY2026 (ending March 2026) is ¥15 (payout ratio 25.3%). The same ¥15 is forecast for FY2027 (ending March 2027). During the current period, the company conducted share buybacks (¥59,961 thousand). The commemorative dividend has ended, returning to ordinary dividends only.
Dividend Policy
The basic policy is to pay dividends twice a year, interim and year-end, implemented flexibly while ensuring stable dividends. For FY2026 (ending March 2026), the interim dividend is ¥5 and the year-end dividend is ¥10, totaling ¥15 per share, with a payout ratio of 25.3%. Note that the year-end dividend for the previous period (FY2025, ended March 2025) included a ¥3 commemorative dividend for the company's 130th anniversary, but the current period consists of ordinary dividends only. An annual dividend of ¥15 (interim ¥5, year-end ¥10) is also forecast for FY2027 (ending March 2027).
ESG
The company has established a Sustainability Committee based on the "Sugimura Group Sustainability Basic Policy" to address environmental, social, and governance issues. In human resource development, the company implements OJT, external training, and employee satisfaction (ES) surveys with the aim of cultivating self-directed employees. To promote diversity, the company discloses the status of promotion to management positions for women and mid-career hires, but has not yet set measurable numerical targets.
