Governance
The company adopts a Company with an Audit and Supervisory Committee structure, with a board of 10 directors (including 4 independent outside directors). As a holding company, it separates decision-making/supervisory functions from business execution functions, and has established advisory bodies such as a Nomination Committee, Compensation Committee, and ESG Committee.
Risk Management
The Group has established a Risk Management Committee based on the Group Risk Management Regulations, and, based on risk analysis results from regional business holding companies, extracts and evaluates material risks, determines priority countermeasures, and conducts monitoring. A structure has been established whereby the results are reported to the Board of Directors through the ESG Committee.
Shareholder Returns
The basic policy is to pay dividends twice a year. The annual dividend for FY2026 (ending March 2026) is ¥36 per share (interim ¥18 + year-end ¥18), with a payout ratio of 41.2%. For FY2027 (ending March 2027), an annual dividend of ¥40 per share (interim ¥20 + year-end ¥20) is forecast. Share buybacks are also conducted (¥2,398 million acquired during the current period).
Dividend Policy
The basic policy is to implement stable profit distribution while comprehensively taking into account the state of business performance and the need to retain internal reserves in preparation for future business development, and dividends of surplus are paid twice a year: an interim dividend and a year-end dividend. The annual dividend for FY2026 (ending March 2026) is ¥36 per share (payout ratio 41.2%, dividend on equity ratio 2.6%). The annual dividend forecast for FY2027 (ending March 2027) is ¥40 per share (payout ratio forecast 51.4%).
ESG
The company supports the TCFD recommendations and has set a goal of net-zero Scope 1 and 2 emissions by 2050, working to reduce GHG emissions intensity by 3.3% annually. In terms of human capital management, it will introduce a new personnel system from FY2026 (ending March 2026), and is also promoting the expansion of green business (forest-certified paper, waste paper collection, plastic reduction) and human rights due diligence based on the KPP Group Human Rights Policy.
