Governance

The company has adopted the Company with a Board of Corporate Auditors structure (12 directors, 4 of whom are outside directors), and has established a Nomination and Compensation Advisory Committee in which independent outside directors constitute a majority. Following approval at the Ordinary General Meeting of Shareholders in June 2026, the company plans to transition to a Company with an Audit and Supervisory Committee structure.

Risk Management

The Company has established a Group-wide Risk Management Committee chaired by the President, which identifies and monitors key risks including "Human Resource Shortage," "Declining Population Along Rail Lines," "Human Rights Violations," "Legal Violations," and "Climate Change." A system has been put in place under which the results are regularly reported to the Board of Directors.

Shareholder Returns

Under a progressive dividend policy with a DOE floor of 2.0%, the per-share dividend for FY2026 (ending March 2026) was increased to ¥60 (interim ¥30, year-end ¥30). Payout ratio was 21.2%, with total dividends of ¥11,427 million. For FY2027 (ending March 2027), a dividend of ¥70 (interim ¥35, year-end ¥35) is forecast.

Conducted climate change risk and opportunity analysis in line with the TCFD framework, setting targets to reduce domestic CO2 emissions by 50% by FY2030 (versus FY2015 levels) and achieve net zero by 2050. In terms of human capital, the company has set KPIs for female hiring, DX talent development, and engagement improvement, among others, and Kintetsu Railway has obtained Certified Health & Productivity Management Outstanding Organization recognition and Platinum Kurumin certification.
