Governance
As a company with an audit and supervisory committee, the company has established a Board of Directors (11 members in total, including 5 outside directors), an Audit and Supervisory Committee, and a Compensation Committee. Under the holding company structure, the company is working to strengthen governance across the group, centered on the Internal Control Office.
Risk Management
The Internal Control Office centrally manages risk across the group as a whole, with each group company establishing rules, guidelines, and training programs to address individual risks such as compliance, disasters, information security, proprietary trading, and owned real estate. Internal audit personnel audit the risk management status of each department at each company and report to the Board of Directors and the Audit and Supervisory Committee, forming an established governance framework.
Shareholder Returns
The basic policy is stable dividends at a DOE level of 4%, with additional returns when ROE exceeds 4%. In FY2026 (ending March 2026), the dividend was increased to ¥30 per share (interim ¥12.5 + year-end ¥17.5), with a DOE of 4.7%. The forecast for FY2027 (ending March 2027) is also ¥30 (interim ¥15 + year-end ¥15).
Dividend Policy
The basic policy is to maintain an annual consolidated net asset dividend rate (DOE) of 4.0%, and when single-year ROE exceeds 4.0%, part or all of the excess is used as a funding source for additional dividends or shareholder returns such as share buybacks. The actual result for FY2026 (ending March 2026) was ¥30 per share (interim ¥12.5 + year-end ¥17.5), with a payout ratio of 22.4% and DOE of 4.7%. The forecast for FY2027 (ending March 2027) is ¥30 per share (interim ¥15 + year-end ¥15).
ESG
While the company has set forth a commitment to CO2 reduction and contribution to a recycling-oriented society through its used condominium renovation and resale business, GHG emissions measurement and TCFD response remain at the stage of future consideration. On the human capital front, the company is working on diverse talent recruitment, training programs, and promotion of childcare and family care leave uptake, and two group subsidiaries (Myplace and the Wautec Group) have obtained certification as Excellent Enterprises of Health and Productivity Management 2026.
