Governance

The company has adopted a Company with an Audit and Supervisory Committee structure, with the Board of Directors comprising 12 members (including 4 outside directors serving as members of the Audit and Supervisory Committee). Risk Management

The Risk Management Division serves as the department in charge of integrated risk management, with four committees established: the Credit Risk Management Committee, the ALM Committee, the Compliance Committee, and the System Investment Committee. The integrated risk management program is resolved by the Board of Directors, and a framework has been established to report risk and profit/loss status to the Board of Directors on a monthly basis. A structure has also been built to manage risks related to climate change, the regional economy, human capital, and governance within the integrated risk management framework.

Shareholder Returns

The company sets an annual dividend floor of ¥50 per share and flexibly returns profits to shareholders according to the level of net income attributable to owners of the parent. For FY2026 (ending March 2026), the annual dividend is planned at ¥89 (interim ¥35 + year-end ¥54), with a payout ratio of 30.2%. For FY2027 (ending March 2027), an annual dividend of ¥106 (interim ¥53 + year-end ¥53) is planned.

Based on the "Taiko SDGs Declaration," the company has identified material E/S/G issues and manages its sustainability promotion program through a PDCA cycle. On the environmental front, CO2 emissions (Scope 1 and 2) were reduced by 39% in FY2025 compared to FY2013, and cumulative sustainable finance execution over three years reached ¥115.0 billion. In terms of human capital, the ratio of women in management positions reached 26.5%, and the male childcare leave utilization rate reached 100%, with the company working toward a target of 30% or more by the end of FY2029.
