Governance
As a company with a Nomination Committee, etc., the company separates execution from oversight, with an outside director serving as chairman of the board. The independent outside director ratio is, in principle, set at a majority, and in addition to the three statutory committees, the company has established a voluntary Risk Committee and a Conflict of Interest Management Committee.
Risk Management
The company has established a groupwide risk management framework based on three lines of defense, with the Risk Committee, an advisory body to the Board of Directors, providing forward-looking recommendations. Climate change risk is positioned as a risk driver that cuts across risk categories, and is managed through scenario analysis, sector policies, enhanced credit screening, and other measures.
Shareholder Returns
Changed its shareholder return policy to target a total payout ratio of 50% or more. The FY2025 annual dividend is ¥185 per share (interim ¥80 + year-end ¥105), with total dividends of ¥129,699 million and a payout ratio of 40.9%. A 1-for-4 stock split is planned effective August 1, 2026. The FY2026 forecast dividend is ¥47.50 per share post-split (equivalent to ¥190 pre-split). Share buybacks of ¥60,026 million were carried out.
Dividend Policy
Shareholder returns are conducted with a target total payout ratio of 50% or more. Dividends per share will be determined progressively, targeting approximately 50% of "adjusted net income (net income attributable to owners of the parent minus gains/losses on sales of policy-holding shares (after tax))", which excludes gains and losses from the sale of policy-holding shares. Share buybacks, as a return measure that contributes to improving capital efficiency, will be conducted flexibly based on business performance, capital conditions, and share price, among other factors.
ESG
In 2021, the company announced its carbon neutrality declaration, setting targets of net zero by 2050 for its investment and loan portfolio and net zero by 2030 for its own group. In addition to setting a cumulative sustainable finance target of ¥15 trillion (FY2021-FY2030), the company has been certified as a "Health & Productivity Management Outstanding Organization (White 500)" for nine consecutive years, and has set a target of 30% or more female officers by 2030, actively engaging in human capital initiatives and addressing social issues.
