Governance
The company has adopted a corporate auditor system. The Board of Directors consists of 5 directors (including 2 outside directors), and the Board of Corporate Auditors consists of 3 corporate auditors (including 2 outside corporate auditors). The Board of Directors meets in principle once a month, and the Management Committee meets twice a month, aiming to accelerate decision-making and strengthen internal controls.
Risk Management
Company-wide risk management is implemented under the overall responsibility of the General Manager of the Administration Division. Risks related to management strategy are analyzed and addressed by the Board of Executive Officers and the Management Committee, while operational risks are analyzed and addressed by the relevant departments, with a system in place for reporting and deliberation at the Board of Directors, Board of Executive Officers, and Management Committee.
Shareholder Returns
Stable dividend policy targeting a consolidated payout ratio of 30%. For FY2026 (ending March 2026), the dividend per share is planned at ¥100 (total dividends of ¥69 million, payout ratio of 21.3%), a twofold increase from the previous period. ¥110 per share is planned for FY2027 (ending March 2027). A small amount of treasury stock was repurchased (¥674 thousand).
Dividend Policy
The basic policy is to implement stable and steady dividends with a target consolidated payout ratio of 30%. Dividends are paid twice a year, at the end of the second quarter (interim) and at fiscal year-end. For FY2026 (ending March 2026), the year-end dividend is planned at ¥100 per share (total dividends of ¥69 million, payout ratio of 21.3%). For FY2027 (ending March 2027), a year-end dividend of ¥110 per share is expected.
ESG
Implemented ESG investment in Nagano Prefecture Green Bonds (October 2022), and is working on GHG reduction, curbing plastic materials, and reducing food loss. In terms of human capital, the company promotes diversity, improving the ratio of female managers, and health management, and has set FY2030 targets of reducing products using plastic trays to 45% or less and increasing the proportion of products using local specialty products to 70% or more.
