Governance

Company with a Board of Corporate Auditors. The Board of Directors consists of 5 members in total, 3 internal and 2 outside (Yoshihiro Kitamura, Yoshiko Moriyama), with an outside director ratio of 40%, and a one-year term of office. A Nomination and Compensation Committee has been established as a voluntary advisory body to the Board of Directors, in which independent officers hold a majority. Risk Management

Risk response is defined based on the Risk Management Regulations administered by the IR & Corporate Planning Office, with cross-organizational monitoring handled by the Internal Audit Office. A system has been established whereby a Risk Response Headquarters is set up in the event of a significant risk occurrence, with reporting to the Board of Directors. The Compliance Committee, CSR Committee, and internal reporting system (Compliance Hotline) are also in operation.

Shareholder Returns

The basic policy is to pay dividends twice a year (interim and year-end). Actual FY2025 (ending August 2025) dividends totaled ¥16 per share annually (interim ¥6 + year-end ¥10). For FY2026 (ending August 2026), the interim dividend of ¥6 has already been paid, and a year-end dividend of ¥8 is planned, for a total annual dividend of ¥14 (down ¥2 year-on-year). Share buybacks were also conducted (943,389 treasury shares held at period-end).

ESG

On the environmental front, the company has set a target of 50% for the usage ratio of environmentally friendly materials in FY2030 spring/summer products, and achieved 29% as of spring/summer 2025. It also supports the supply chain through the use of organic cotton produced in Uganda. In terms of human capital, the company promotes hierarchical training programs, various commendation systems, encouragement of childcare leave uptake (100% for women, 100% for men), employment of people with disabilities, and flexible work start-time selection, among other initiatives; the ratio of women in managerial positions stands at 25.0%.
