Governance
The Board of Directors consists of 8 members (including 3 outside directors) and meets 16 times per year. The company has adopted the structure of a company with a Board of Corporate Auditors, and conducts group management through the Executive Committee, Group Management Council, ESG Committee, and other bodies. The takeover defense measures (with an independent committee established) were continuously approved at the 2024 shareholders' meeting.
Risk Management

For FY2027 (ending March 2027), a year-end dividend of ¥30 per share is planned (forecast payout ratio of 80.7%). The dividend decision-making body is the shareholders' meeting.
ESG
The company maintains ISO14001 certification and has completed GHG emissions calculations, targeting SBT certification acquisition within FY2026. In addition to environmental initiatives such as the development of the biodegradable material "Leaf" and the practice of the SDGs Triangle, as part of human capital management, the company achieved a 75% appointment rate for management/specialist positions and recorded a 70% retention rate three years after joining (target: 75% or higher). Under the next medium-term management plan, the company will continue to promote "respect for the individual and improvement of job satisfaction" as a basic policy.
