Governance
As a company with a Board of Corporate Auditors, the company has appointed two outside directors and two outside corporate auditors, designating one outside director and one outside corporate auditor as independent officers. A Nomination Committee and Compensation Committee have been established to enhance the transparency and objectivity of deliberations. The Board of Directors held 14 meetings during the fiscal year under review, with all members maintaining a high attendance rate.
Risk Management
Enterprise-wide risk management is implemented through various meeting bodies centered on the Representative Director and President. The Sustainability Committee identifies and evaluates risks and opportunities, and a system has been established whereby financial impact, environmental and social impact, and likelihood of occurrence are comprehensively examined before matters are submitted to and reported at the Management Committee and the Board of Directors.
Shareholder Returns
The company positions returning profits to shareholders as one of its most important priorities, and its policy is to continue stable dividends while balancing this with internal reserves. The fiscal year-end dividend was ¥27 per share (total dividends of ¥282 million). The articles of incorporation provide that treasury share repurchases may be carried out flexibly by resolution of the Board of Directors.
Dividend Policy
The company's basic policy is a year-end dividend, with the articles of incorporation stipulating dividends twice a year, including an interim dividend (record date September 30). Distributions of surplus are implemented flexibly by resolution of the Board of Directors. The basic policy is to continue stable dividends while balancing this with internal reserves. No numerical target for the payout ratio has been disclosed.
ESG
The company has established a Sustainability Committee, building a promotion framework in which the President and Representative Director bears ultimate responsibility. It is focusing on human resource development and diversity promotion, and both Estelle HD and As-me Estelle achieved their targets for the ratio of female managers and the male childcare leave uptake rate (female manager ratio of 30.2% and 41.9%; male childcare leave uptake rate of 100%). The company is also working to improve employee well-being, including increasing annual holidays by 8 days from FY2024.
