Governance
As a company with an Audit and Supervisory Committee, at least one-third of directors are independent outside directors, and an Independent Officers' Committee composed solely of independent outside directors conducts effectiveness evaluations of the Board of Directors. A speedy decision-making structure has been established through delegation of authority to the full-time officers' committee.
Risk Management
The Company has established a Group Risk Management Committee and a Group Compliance Committee, chaired by the President and Representative Director, with a system in place to convene them immediately in the event of a crisis. Group-wide risk management is carried out through the formulation of a basic BCP policy and the development of a BCM framework, an internal whistleblowing system, and regular audits conducted by the internal audit department.
Shareholder Returns
Basic policy of a total payout ratio of 50% or more, combining stable dividends with a DOE floor of 3.60% and flexible share buybacks. The annual dividend for FY2026 (ending March 2026) is ¥73 per share (interim ¥23 + year-end ¥50), and the total payout ratio, including share buybacks of ¥24,758 million, is 51.0%.
Dividend Policy
Basic policy of a total payout ratio of 50% or more. Stable long-term dividends are paid with a DOE (dividend on equity) floor of 3.60%, combined with share buybacks conducted as appropriate with awareness of the cost of capital. The year-end dividend is ¥50, consisting of a base dividend of ¥23 plus a performance-linked dividend of ¥27, and the interim dividend is ¥23, for an annual total of ¥73. The forecast interim dividend for FY2027 (ending March 2027) is ¥25, with the year-end dividend to be considered separately.
