Governance
As a company with a Board of Corporate Auditors, the company consists of 6 directors (of which 3 are outside directors, an outside ratio of 50%) and 3 corporate auditors (of which 2 are outside auditors). A Risk Management Committee, Sustainability Committee, and Management Committee have been established, and the Board of Directors met 13 times during the fiscal year, achieving a 100% attendance rate for all members.
Risk Management
The Risk Management Committee, chaired by the Representative Director and President, meets in principle every month and oversees the internal control system for the entire Group. Sustainability-related risks identified by the Sustainability Committee are communicated to the Risk Management Committee, and a framework has been established to continuously manage five materialities identified from a long list of 57 items.
Shareholder Returns
For FY2026 (ending March 2026), the annual dividend per share was increased to ¥100 (interim ¥50 + year-end ¥50), with a payout ratio of 48.5%. The same amount of ¥100 is planned for FY2027 (ending March 2027) as well. Share buybacks are also being continued (¥410 million in the current fiscal year).
Dividend Policy
The company positions returning profits to shareholders as an important management priority, and conducts dividend payments twice a year, comprising an interim dividend and a year-end dividend. For FY2026 (ending March 2026), the dividend per share is ¥100 (interim ¥50 + year-end ¥50), with a payout ratio of 48.5% and a dividend-to-net-assets ratio (DOE) of 3.2%. The forecast for FY2027 (ending March 2027) also plans a dividend per share of ¥100 (interim ¥50 + year-end ¥50), with a forecast payout ratio of 50.8%.
ESG
The company has identified five materiality items (contribution to society through healthcare, creating a workplace where diverse talent can thrive, strengthening the management foundation, reducing environmental impact, and contributing to local communities), and the Sustainability Committee (meeting four times a year) is responsible for formulating measures and managing progress. In response to climate change, the company has conducted 1.5°C and 4°C scenario analyses and is promoting GHG reduction measures such as installing solar power generation and switching to LED lighting. In terms of human capital, the company has set a target for the ratio of female managers (at least 2 each at MEDIKIT CO., LTD. and Togo Medikit Co., Ltd. by March 2029), and MEDIKIT CO., LTD. has already achieved 2 (3.3%).
