Governance
As a company with a Board of Corporate Auditors, the company is composed of 8 directors (4 outside) and 4 corporate auditors (2 outside), thoroughly separating business execution and oversight under a holding company structure. A voluntary Nomination and Compensation Advisory Committee (with outside directors comprising a majority of members) has been established to ensure fairness and objectivity.
Risk Management
The company has established a Group Risk Committee, headed by the Representative Director and President, which operates across the entire group and meets twice a year. The results of its deliberations are reported to the Management Committee and the Board of Directors, and a business continuity management framework has also been put in place, including the establishment of a disaster response headquarters based on BCM regulations.
Shareholder Returns
Basic policy is a consolidated dividend payout ratio of 30% or more, with dividends paid twice a year. For FY2026 (ending March 2026), the annual dividend per share is ¥293 (interim ¥123 + year-end ¥170), with total dividends of ¥27,861 million and a payout ratio of 30.1%. For FY2027 (ending March 2027), an annual dividend of ¥175 (interim ¥60 + year-end ¥115) is planned on a post-stock-split basis. Share buybacks were also conducted (acquisition amount of ¥16,182 million).
Dividend Policy
The basic policy is to pay dividends twice a year, an interim dividend and a year-end dividend. The company aims for a consolidated dividend payout ratio of 30% or more, and implements shareholder returns after taking into account the maintenance of sound financial standing to respond to future changes in the business environment and the enhancement of internal reserves necessary for growth investment. Additionally, a stock split at a ratio of 2 shares for every 1 share of common stock was implemented effective April 1, 2026.
ESG
The company has obtained SBTi certification (1.5°C target) for GHG emission reductions and has endorsed the TCFD recommendations. In addition to being certified as an Excellent Health and Productivity Management Corporation (White 500) for four consecutive years and being selected as a Health and Productivity Stock for three consecutive years, the company has established an integrated management framework for ESG issues through its Sustainability Committee and Group Risk Committee.
