Governance
Adopts an audit & supervisory board system, with 3 of the 9 directors being outside directors (including 2 independent officers). Decision-making speed and oversight functions are ensured centered on the Board of Directors (meeting 17 times per year) and the Management Committee (meeting 24 times per year). A Compensation Committee was newly established in May 2026 to improve transparency.
Risk Management
The Risk and Compliance Committee, chaired by the President, meets four times a year to identify and manage company-wide risks. Progress is reported to the Management Committee and the Board of Directors once a year, and a framework is in place to establish an emergency task force in the event of a crisis.
Shareholder Returns
The company maintains a basic policy of continuing stable dividends, and for FY2026 (ending March 2026) implemented an annual dividend of ¥20 per share (interim ¥10, year-end ¥10, of which the interim dividend included a ¥10 commemorative dividend for the company's 100th anniversary). For FY2027 (ending March 2027), an annual dividend of ¥20 per share (interim ¥5, year-end ¥15) is planned. In the current fiscal year, the company also conducted share buybacks (¥137,985 thousand).
Dividend Policy
The basic policy is to continue paying stable dividends backed by business performance, while considering the enhancement of internal reserves to strengthen the company's financial structure, and to determine an appropriate dividend amount each time in light of earnings conditions and the management environment. The actual result for FY2026 (ending March 2026) was an annual dividend of ¥20 per share (¥10 at the end of the second quarter = commemorative dividend for the 100th anniversary of the company's founding, ¥10 at year-end), with total dividends of ¥113 million. The forecast for FY2027 (ending March 2027) is an annual dividend of ¥20 per share (interim ¥5, year-end ¥15), with a payout ratio of 34.3%.
ESG
The company has set targets to reduce CO2 emissions by 40% by FY2030 (compared to FY2018 levels) and to achieve carbon neutrality by FY2050, promoting the introduction of solar power generation and renewable energy. On the social front, the company aims to increase the ratio of female employees (12.9% in FY2026 (ending March 2026)) and the ratio of female managers (3.0% in the same period), and is also advancing institutional arrangements aimed at obtaining Platinum Kurumin certification.
