Risk Management

The Risk Management Committee, Compliance Committee, Internal Audit Department, and Legal & Compliance Team coordinate to develop the risk management framework, and the effectiveness of the framework is reported to the Board of Directors. Identified opportunities and risks are regularly monitored by the responsible departments, and a system has been established whereby the Board of Directors decides on measures for review and additional investment.

For FY2026 (ending March 2026), a year-end dividend of ¥1.00 (annual ¥1.00) was implemented, with a payout ratio of 18.2%. For FY2027 (ending March 2027), an annual dividend of ¥2.00 (year-end only) is forecast. A small amount of treasury stock repurchase was also carried out.

Dividend Policy

The policy is to implement stable and appropriate profit distribution by comprehensively considering business performance and the payout ratio. For FY2026 (ending March 2026), profit attributable to owners of parent of ¥113 million (¥5.50 per share) was recorded, and a year-end dividend of ¥1.00 (annual ¥1.00, total dividends of ¥20 million, payout ratio of 18.2%) was implemented. No interim dividend was paid; only a year-end dividend was distributed. For FY2027 (ending March 2027), an annual dividend of ¥2.00 (year-end ¥2.00) is forecast (payout ratio of 23.7%).

In the Used Car Distribution Business, the company is actively promoting environmentally friendly products such as hybrid vehicles. Regarding diversity promotion, from the current level of a 14.1% ratio of female employees and a 4.0% ratio of foreign employees, an action plan has been formulated targeting a female employee ratio of 23% or more and 15 or more female managers by the end of March 2028. The sustainability promotion structure is overseen by the Corporate Planning Office, and a framework is being established in which the Board of Directors deliberates on and supervises recommendations from the Risk Management Committee.
