Governance
Transitioned to a company with three committees (nomination, audit, and compensation) in 2005. Composed of 9 directors (of which 6 are outside directors) and 8 executive officers, separating the execution and oversight of management. The Nomination, Compensation, and Audit Committees are each composed of a majority of outside directors, ensuring independence.
Risk Management
In accordance with the Risk Management Regulations, the Corporate Planning Department and the General Affairs Team of the Administration Division coordinate with the relevant departments in charge to respond to risks such as compliance, market, credit, quality, and information risks. A Risk Management Committee, headed by the responsible executive officer, reports material risks to the Board of Directors, and a framework is in place to take appropriate action accordingly.
Shareholder Returns
The basic policy is a single year-end dividend once per fiscal year; the FY2026 (ending March 2026) dividend per share is ¥10 (total dividends of ¥50 million, payout ratio 61.8%). ¥12 per share is forecast for FY2027 (ending March 2027). The Articles of Incorporation stipulate that share buybacks are permitted.
Dividend Policy
The company implements appropriate dividends while securing the internal reserves necessary for stable corporate growth and responding to changes in the business environment, taking into account each fiscal year's earnings, future outlook, payout ratio, and cash flow. The basic policy is a single year-end dividend once per fiscal year, and interim dividends are also permitted under the Articles of Incorporation. Dividends of surplus are determined by resolution of the Board of Directors. The FY2026 (ending March 2026) actual dividend is ¥10 per share (payout ratio 61.8%), and the FY2027 (ending March 2027) forecast dividend is ¥12 per share (payout ratio 44.2%).
ESG
The company is committed to reducing CO2 emissions by shortening total travel distances across the supply chain toward a circular society, as well as reusing and recycling packaging materials. In terms of diversity promotion, it has set targets of 15% for the ratio of female managers (target for March 2030, currently 10%) and 35% for the ratio of female employees (same target date, currently 26%), and is also maintaining and promoting the employment of elderly and disabled persons.
