Governance
Company with a Board of Corporate Auditors. The Board of Directors consists of 7 members (including 2 outside directors), all of whom attended all 10 Board of Directors meetings held during the fiscal year. The company has adopted a governance structure in which the Compliance Committee oversees internal control, legal compliance, and risk management.
Risk Management
The Compliance Committee and Management Council are held regularly to address product quality and personnel-related risks. As natural disaster countermeasures, the company has established a BCP framework comprising duplication of core system data, an emergency contact network, and mutual support between business sites. The General Affairs & Human Resources Department serves as the legal affairs contact point, reviewing contracts, and seeks opinions from the company's legal advisor on important matters.
Shareholder Returns
The company's basic policy is a consolidated payout ratio of 30% or more, with dividends paid twice a year (interim and year-end). For FY2025 (ending March 2025), an interim dividend of ¥10 per share and a year-end dividend of ¥17 per share (total ¥27) are planned. Share buybacks are stipulated in the Articles of Incorporation to be executable by resolution of the Board of Directors.
