Governance
As a company with an Audit and Supervisory Committee, the board of directors consists of 7 members (including 3 outside directors), and a Nomination and Compensation Advisory Committee (chaired by an independent outside director) has been established. Ernst & Young ShinNihon LLC serves as the accounting auditor, and an internal audit department (Audit Section) has been established with a structure independent from executive directors.
Risk Management
As a trading company, the Company positions customer credit risk as its most critical risk, and its credit management department conducts regular credit investigations and manages credit limits. Each subcommittee under the Sustainability Committee (Environment, Human Resources Safety, and Governance) integrally manages risks from an ESG perspective, and a system has been established to report the results regularly to the Board of Directors.
Shareholder Returns
Annual dividend for FY2026 (ending March 2026) is ¥157 per share (interim ¥64 + year-end ¥93), with a payout ratio of 40.0%. The forecast for FY2027 (ending March 2027) is ¥162 (interim ¥79 + year-end ¥83), with a payout ratio of 43.8%. The target policy is DOE of 4.5% or higher and a payout ratio of 40% or higher.
Dividend Policy

Interim dividends are determined by resolution of the Board of Directors, and year-end dividends by resolution of the General Meeting of Shareholders. ESG
The company is advancing climate change response in line with the TCFD recommendations (1.5°C and 4°C scenario analysis conducted, 2050 carbon neutrality target), while also strengthening human capital, including continued certification as an Excellent Health Management Corporation, a male childcare leave take-up rate of 45.8% (achieving ahead of schedule the 30% target), and a female manager ratio of 4.3%. The Sustainability Committee (meeting 4 times a year, with a 100% attendance rate) oversees subcommittees for Environment, Human Resources & Safety, and Governance, and a system has been established for regular reporting to the Board of Directors.
