Risk Management

The Company has established a three-lines-of-defense structure based on its Risk Management Regulations, under which material risks are assessed annually and reported to the Board of Directors. The Board oversees the PDCA cycle, while the Audit and Supervisory Committee monitors and verifies the appropriateness of this framework.

Shareholder Returns

The company's basic policy is performance-linked dividends, with the articles of incorporation stipulating dividends twice a year (interim and year-end). However, for FY2025 (ended March 2025), the year-end dividend was omitted due to a deterioration in business performance. The articles of incorporation stipulate that share buybacks can be flexibly implemented by resolution of the Board of Directors. The shareholder benefit program is planned to continue.

Dividend Policy

The basic policy is to continuously implement dividends linked to business performance, in principle paying dividends twice a year: an interim dividend and a year-end dividend. Dividends of surplus are determined by resolution of the Board of Directors. For FY2025 (ended March 2025), after comprehensively considering business performance, the Board resolved at an extraordinary Board of Directors meeting held on May 9, 2025 to omit the year-end dividend. The policy going forward is to continue stable dividends and the shareholder benefit program.
