Governance
The Board of Directors consists of 8 members, including 2 outside directors (outside director ratio: 25%), and the company has adopted the Audit & Supervisory Board system. A Compliance Officer and Risk Management Officer have been established, and an internal audit system has been put in place through the Business Audit Office, which reports directly to the President. No nomination or compensation committee has been established; however, a mechanism has been adopted whereby the opinions of independent outside directors are sought in advance when appointing directors and determining compensation.
Risk Management
The company has established the "Yutaka Global Risk Management Regulations" and set up a Risk Management Committee under the monitoring and supervision of the Risk Management Officer. Each division head identifies division-level key risks based on evaluation criteria of "frequency of occurrence" and "impact on business," and a system has been built whereby significant risks are reported to the Management Committee as appropriate, designated as "Company-wide Key Risks."
Shareholder Returns
In light of the tender offer by Motherson Global Investments B.V., no dividend will be paid for FY2026 (ending March 2026) (annual dividend of ¥0). As the company's shares are expected to be delisted, the dividend forecast for FY2027 (ending March 2027) has not been disclosed. No share buyback has been implemented either.
Dividend Policy
As announced on August 29, 2025, in light of the tender offer by Motherson Global Investments B.V., no dividend will be paid for FY2026 (ending March 2026) (annual dividend of ¥0). In addition, as the company's shares are expected to be delisted in accordance with the tender offer and the subsequent series of procedures, the dividend forecast for FY2027 (ending March 2027) has not been disclosed.
ESG
As part of its climate change response, the company has set targets to reduce Scope 1 and 2 CO2 emissions by 46% by 2030 (versus 2019) and achieve net zero by 2050, and has begun operating on-site PPA solar power generation facilities and procuring carbon-free electricity (2024 results: total of 8,531 t-CO2). In terms of human capital, the company has set medium-term targets of a female employee hiring rate of 20% or higher and an employee engagement score of 3.50 or higher, and is advancing human resource management initiatives such as introducing a career path system and establishing the Yutaka Health Declaration.
