Governance
The company is structured as a company with an Audit and Supervisory Committee, with a Board of Directors comprising 11 members (7 internal and 4 outside directors). The oversight function of the Board of Directors is strengthened by the Audit and Supervisory Committee, in which outside directors hold a majority, and a Management Meeting (held weekly) and a Sustainability Promotion Committee are established as complementary bodies.
Risk Management
An Audit Department (12 members) reporting directly to the Representative Director and President conducts periodic internal audits in accordance with internal audit regulations, and receivables and credit risk are managed at meetings chaired by the President. The Company has established a Compliance Committee and an internal reporting window (hotline), and has built a system in which the Audit and Supervisory Committee monitors the directors' execution of duties.
Shareholder Returns
The basic policy is to pay a year-end dividend once a year. For FY2026 (ending March 2026), the dividend was increased to ¥80 per share (total dividends of ¥2,221 million, payout ratio of 20.0%). For FY2027 (ending March 2027), ¥80 per share is also forecast. Share buybacks can be conducted flexibly based on provisions in the Articles of Incorporation.
Dividend Policy
The company positions the continuous and stable payment of dividends to shareholders as its most important policy, with the basic policy of distributing returns backed by business performance. Only a year-end dividend is paid, once a year. For FY2026 (ending March 2026), the dividend is ¥80 per share (total dividends of ¥2,221 million, payout ratio of 20.0%, dividend on equity ratio of 2.3%). The forecast for FY2027 (ending March 2027) is also ¥80 per share.
ESG
The company has established the following materiality themes: "Contribution to a decarbonized society" (target of a 50% reduction in CO₂ emissions by FY2030 compared to FY2013), "Contribution to primary industries," "Promotion of recycling business," and "Enhancement of human capital value." In terms of human capital, the company has achieved a 100% male childcare leave uptake rate and maintains a 100% compliance training completion rate, and has established a system whereby the Sustainability Promotion Committee reports to the Board of Directors at least once a year.
