Governance
Company with an Audit and Supervisory Committee. The Board of Directors consists of 7 members (including 4 outside directors), with an outside director ratio of approximately 57%. A combined Nomination and Compensation Committee, chaired by an independent outside director, along with a Special Committee, has been established to enhance governance functions.
Risk Management
The Company has established a Risk Management Committee, chaired by the President and Representative Director, which formulates company-wide risk policies, measures, and annual plans, and monitors and supervises the status of risk management based on the Risk Management Regulations. A separate Compliance Committee has also been established to strengthen the compliance framework.
Shareholder Returns
The company continues to pay dividends twice a year (interim and year-end, ¥19 each), and the annual dividend forecast for FY2026 (ending September 2026) is ¥38 per share (unchanged from the previous fiscal year). ESG
The sustainability mission is defined as identical to the corporate mission, "Make life new through education," positioning the SDG "Quality Education for All" as a priority goal. On the human capital side, the company is working on employment of persons with disabilities, promotion of women's advancement, and periodic monitoring of employee satisfaction (overall employee satisfaction of 76.5%). On the environmental side, environmentally friendly paper and vegetable-oil ink are used for juku teaching materials. The proportion of women in management positions is 8.6% at the filing company and 4.3% at Shonan Seminar. The identification of materiality and the development of an organizational structure are noted as matters for future consideration.
