Governance
As a company with an Audit and Supervisory Committee, the Board of Directors comprises 10 members (including 6 independent outside directors, an outside director ratio of 60%), and since April 2024 an outside director has served as chairman of the Board of Directors. The company has established voluntary advisory bodies for nomination and compensation (the Officer Nomination Council and the Director Compensation Council) to ensure independence and transparency.
Risk Management
The company oversees its environmental, health, safety, and sustainability management systems under the EHSS Steering Committee, with the Risk Management/BCM Committee formulating BCPs and conducting drills. In response to geopolitical risks, an Economic Security Office has been established, and frameworks for countering cyberattacks and managing confidential information have also been put in place.
Shareholder Returns
Stable return policy targeting a consolidated payout ratio of approximately 30%. Despite a challenging performance in FY2026 (ending March 2026), the company plans an interim dividend of ¥25 and a year-end dividend of ¥25, totaling ¥50 per share annually (total dividends of ¥19,302 million, payout ratio: -). An annual dividend of ¥50 is also planned for FY2027 (ending March 2027). Treasury shares are acquired flexibly for the purpose of improving capital efficiency.

ESG
Based on the "ROHM Group Environmental Vision 2050," the company has achieved net-zero GHG emissions targets, joined RE100, and obtained SBTi certification, aiming to reduce Scope 1 and 2 emissions by 50.5% or more by 2030 compared to FY2018 levels. In terms of human capital, the company has set a target of 15% for the ratio of female managers (13.8% actual in FY2025) and achieved a 60% ratio of outside directors, among other quantitative targets and progress management across 10 materiality items.
