Business

Fukuda Denshi is a medical electronics manufacturer founded in 1939, operating four business segments: Physiological Testing Equipment (electrocardiographs, ultrasound diagnostic imaging systems, etc.), Patient Monitors, Therapeutic Equipment (AEDs & Defibrillators, Ventilators, Home Healthcare Rental Business (HOT/HMV/CPAP), etc.), and consumables/maintenance services for each type of equipment. Domestically, the company delivers products to medical institutions and home-care patients through a nationwide network of sales subsidiaries, and it also exports through overseas subsidiaries in the US, China, and the UK. Its main customers are medical institutions such as hospitals and clinics, as well as home-care patients, and the company positions itself as offering a one-stop service covering "prevention, testing, treatment, follow-up observation, rehabilitation, home care, and nursing care." Consolidated net sales were ¥139,697 million (FY2026 (ending March 2026)).

Business Model

In the Therapeutic Equipment Division, which accounts for approximately 45.6% of net sales, home healthcare rental services (HOT/HMV/CPAP) form the core business, generating continuous service revenue by leasing out equipment. The Consumables Division (approximately 28.4% of net sales) handles consumables and repair/maintenance services for each type of equipment, expanding steadily in line with the spread of installed equipment. The Physiological Testing Equipment and Patient Monitor Divisions are centered on equipment sales. The company operates a vertically integrated structure spanning manufacturing, sales, and services, combining its nationwide network of sales subsidiaries with in-house manufacturing and procurement.

Company Strengths

The Therapeutic Equipment Division posted sales of ¥63,664 million (up 2.8% year on year) and segment profit of ¥13,927 million (up 6.6% year on year), forming the company's largest segment. The Home Healthcare Rental Business (HOT/HMV/CPAP) operates on a continuous billing model, and against the backdrop of an increasing number of home care patients due to an aging population, it continues to accumulate stable earnings.

The Consumables Division posted sales of ¥39,778 million (up 2.7% year on year) and segment profit of ¥6,600 million (up 4.1% year on year). With a running business structure in which demand for consumables and repair/maintenance grows in line with the number of installed devices, this division maintained strong performance even in phases where capital-expenditure-related sales growth was sluggish.

As of the end of FY2026 (ending March 2026), the equity ratio stood at 83.8% (up 1.7 percentage points year on year), and the debt redemption period was 0.1 years, indicating substantially debt-free management. Cash and cash equivalents at fiscal year-end totaled ¥60,698 million. Capital expenditures of ¥19,205 million and treasury stock purchases of ¥12,434 million were fully funded from internal resources, demonstrating the company's robust financial foundation.

ENVALITH's Perspective

In FY2026 (ending March 2026), the company secured revenue of ¥139,697 million (+0.5% YoY) and operating profit of ¥26,608 million (+2.8% YoY), achieving increased revenue and profit, but the growth rate remains at a low level. Revenue has fallen below ¥140,000 million for two consecutive periods since peaking in FY2024 (ended March 2024), and the pattern continues in which weakness in the Physiological Testing Equipment Division (-5.6%) and the Patient Monitor Division (-4.8%) offsets growth in therapeutic equipment and consumables. The forecast for FY2027 (ending March 2027) calls for revenue of ¥142,000 million (+1.6%) and operating profit of ¥25,500 million (-4.2%), indicating an outlook of increased revenue but decreased profit, raising concerns about the sustainability of profit growth.

In FY2026 (ending March 2026), the company significantly strengthened shareholder returns, conducting share buybacks of ¥12,434 million (a sharp increase from just ¥2 million in the prior period) and dividends of ¥6,319 million (payout ratio of 33.7%). On the other hand, operating cash flow decreased to ¥29,328 million (down ¥3,691 million from ¥33,019 million in the prior period), and free cash flow has been compressed, partly due to an increase in acquisition of property, plant and equipment to ¥19,205 million (from ¥12,496 million in the prior period). The forecast dividend for FY2027 (ending March 2027) is maintained at ¥230 (payout ratio of 35.1%), but it should be noted that continuing returns amid a forecast profit decline will involve consuming financial reserves.

As announced on May 14, 2026, it was discovered that the Representative Director and Chairman had improperly used expenses, among other issues (¥154 million, ¥140 million excluding tax), and this has already been reflected in the current period's financial statements. A full repayment agreement has been concluded, limiting the financial impact, but as a governance issue involving the Chairman, who comes from the founding family, it could affect investor confidence. It is necessary to continuously monitor the effectiveness of recurrence prevention measures and progress in strengthening the independence of the Board of Directors, including the newly appointed outside director Masashi Fukuda (scheduled to take office in June 2026).

Growth Strategy

Aiming for medium-term revenue and profit growth centered on home healthcare, medical DX, and one-stop services

The Therapeutic Equipment Division, centered on the home healthcare rental business including HOT/HMV/CPAP, continued to grow, reaching ¥63,664 million (up 2.8% year on year) in FY2026 (ending March 2026). The company is promoting patient acquisition leveraging its nationwide service network, benefiting from the tailwind of an aging population and the shift to home care driven by regional healthcare visions. Operational efficiencies from the absorption merger of Fukuda Life Tech (April 2025) also contributed.

The increase in tangible and intangible fixed assets in FY2026 (ending March 2026) expanded significantly to ¥24,165 million, up from ¥14,545 million in the previous fiscal year. The company invested ¥19,205 million in tangible fixed asset acquisitions (versus ¥12,496 million in the previous fiscal year), advancing next-generation product development and manufacturing facility enhancement. Tools, furniture and fixtures (net) increased from ¥20,397 million to ¥24,612 million, primarily attributable to the expansion of home healthcare equipment.

The Consumables Division achieved stable growth, reaching ¥39,778 million (up 2.7% year on year) in FY2026 (ending March 2026). The company maintains a stock-type revenue model in which demand for consumables and repair/maintenance services automatically expands as the cumulative installed base from equipment sales and rentals grows. The expanding penetration of home healthcare equipment in the Therapeutic Equipment Division contributes to a medium- to long-term uplift in consumables demand.

In FY2026 (ending March 2026), the company conducted share buybacks of ¥12,434 million (treasury shares at fiscal year-end: 10,731,416 shares, versus 8,918,234 shares in the previous fiscal year). The annual dividend was increased from ¥195 to ¥230, with a payout ratio of 33.7%. The FY2027 (ending March 2027) forecast dividend is also maintained at ¥230 (payout ratio of 35.1%). The market-value-based equity ratio rose from 83.2% to 115.9%, reflecting improved market valuation.
