Governance
Company with an Audit and Supervisory Committee. The Board of Directors consists of 9 directors (4 of whom are outside directors), with the Chairman of the Board and the Representative Director positions separated. Since 2018, the company has established a voluntary Nomination Committee and Compensation Committee, each chaired by an independent outside director, ensuring transparency and objectivity. An executive officer system (11 officers) separates supervision from execution.

In principle, dividends are paid once a year at fiscal year-end, and the medium-term management plan targets a payout ratio exceeding 40% or DOE of approximately 5%. For FY2026 (ending March 2026), an ordinary dividend of ¥110 plus a commemorative dividend of ¥40, totaling ¥150 (up ¥50 year on year), is planned. No share buyback has been announced.
Dividend Policy
The basic policy is to pay dividends taking into account business performance, the management environment, and the medium- to long-term strengthening of the financial structure, with dividends in principle paid once a year at fiscal year-end. Under the medium-term management plan, the policy is to return value to shareholders targeting a payout ratio exceeding 40% or DOE of approximately 5%. The annual dividend forecast for FY2026 (ending March 2026) is ¥150 per share (ordinary dividend of ¥110 plus a commemorative dividend of ¥40), an increase of ¥50 from the previous fiscal year's ¥100.
ESG
Based on TCFD recommendations, the company conducted 4°C and 1.5°C scenario analyses, setting targets to achieve substantially zero CO2 emissions from electricity by 2025 and carbon neutrality by 2050. It introduced an off-site PPA at the Ibaraki Plant, realizing Japan's first 100% renewable energy-powered factory. In terms of human capital, it is working on diversity and health and safety initiatives, including a target of 5% for the ratio of female managers by 2030 (currently 2.0%), promotion of ISO45001 certification, and continued certification as an excellent health management corporation. The company continues to obtain third-party assurance for GHG emissions (Scope 1 to 3).
