Governance
Company with a Board of Corporate Auditors (7 directors, of which 2 are outside directors). A voluntary Nomination and Compensation Committee has been established, with an independent officer serving as chairperson, in an effort to ensure transparency. The Board of Directors met 18 times during the fiscal year under review, with a 100% attendance rate among all members.
Risk Management
The Risk Management Committee, chaired by the President and Representative Director, meets regularly four times a year to manage compliance, environmental matters, quality, information security, and other areas on a cross-organizational basis. In a system that complements the Sustainability Committee, sustainability risks are also reported on a quarterly basis.
Shareholder Returns
Basic policy is stable dividends, with a year-end dividend paid once a year. For FY2026 (ending March 2026), the dividend is ¥7.50 per share (total dividends of ¥158 million, payout ratio of 36.6%). For FY2027 (ending March 2027), an increase of ¥2.50 to ¥10.00 per share is planned, reflecting the results of profitability structure reforms.
Dividend Policy
The basic policy is to maintain stable dividends to shareholders while making proactive capital investments for R&D toward new product development and to maximize the functions of each group company, and to distribute returns backed by business performance, paying a year-end dividend once a year. For FY2026 (ending March 2026), the dividend is ¥7.50 per share (ordinary dividend of ¥7.50, total dividends of ¥158 million, payout ratio of 36.6%). For FY2027 (ending March 2027), reflecting ongoing improvement in profitability, a dividend of ¥10.00 per share (ordinary dividend of ¥10.00, forecast payout ratio of 35.3%) is planned.
ESG
As part of its climate change response, the company participates in CDP in line with TCFD recommendations, and its FY2025 Scope 1+2 emissions came to 9,985 t-CO2 (down 24.4% versus FY2021), progressing toward its medium-term target. In human capital, the company has obtained the highest rating under the Eruboshi certification and Kurumin certification, and is advancing diversity and work-style reform initiatives, including a 100% male childcare leave utilization rate and average monthly overtime of 6.2 hours.
