The company has adopted a company-with-a-board-of-corporate-auditors structure (holding company system), with a board of 13 directors (including 7 outside directors and 4 women). Outside directors make up a majority, and the chairman of the board of directors is outside director Michitaka Sawada. The company has established voluntary Nomination Advisory Committee and Compensation Advisory Committee, with outside directors serving as chair and comprising a majority of the members.
Risk Management
Group-wide risk management is operated centered on the PHD ERM Committee based on the "Panasonic Group Risk Management Basic Regulations." Material risks are identified and evaluated once a year, with climate change, environmental regulations, natural disasters, supply chain management, etc. selected as material risks. Progress is regularly reported to the PHD Executive Committee, the Group Transformation Round Table, and the Board of Directors.
Shareholder Returns
Stable dividends implemented with a consolidated payout ratio target of around 30%. For FY2025, the annual dividend per share was ¥40 (interim ¥20 + year-end ¥20), with total dividends of ¥93,388 million and a payout ratio of 49.3%. The FY2026 forecast is ¥54 (an increase). Share buybacks have not been implemented except for minor cases.
Dividend Policy
The basic policy is to distribute profits in accordance with consolidated business results, implementing stable and continuous dividends with a consolidated payout ratio target of around 30%. Dividends are paid twice a year, as an interim dividend and a year-end dividend. For FY2025, the actual dividend per share was ¥40 (interim ¥20, year-end ¥20), with total dividends of ¥93,388 million and a payout ratio of 49.3%. The FY2026 forecast is ¥54 per share (interim ¥27, year-end ¥27). Regarding share buybacks, the policy is to implement them flexibly with the aim of enhancing shareholder value per share and capital profitability, while comprehensively taking into account strategic investments and financial conditions; however, in FY2025, no buybacks were implemented except for minor cases such as the purchase of shares constituting less than one unit.
ESG
Under its long-term environmental vision "Panasonic GREEN IMPACT," the company aims to achieve net-zero CO₂ emissions across all operating companies by 2030 and create a reduction impact of 300 million tons or more by 2050, and has obtained SBT 1.5°C target and net-zero target certification. The company has also set human capital targets, including promoting human rights due diligence (prevention of forced labor and protection of migrant workers), raising the ratio of female managers (targeting 12% in FY2028 (ending March 2028)), and achieving a 60% UNLOCK index score (in FY2028 (ending March 2028)), and is advancing sustainability management under the oversight of the Board of Directors.
