Governance

As a company with a Nomination Committee, etc., the Board of Directors (5 members as of the securities report filing date, including 3 outside directors, all independent) oversees management, with three committees established: Audit, Nomination, and Compensation. Outside directors hold a majority, and the Internal Audit Department operates directly under the Audit Committee, establishing an audit structure independent from the executive function.

Risk Management

The company has established a company-wide risk management framework based on its risk management regulations, with the Sustainability Promotion Department (under the CFO's jurisdiction) identifying, assessing, and managing sustainability risks, including climate change. Material uncertainty exists regarding the company's ability to continue as a going concern, and improving financial soundness and meeting listing maintenance criteria are recognized as the most critical management issues.

Shareholder Returns

For FY2025 (ended March 2025), the company recorded a net loss attributable to owners of the parent and had negative retained earnings, resulting in no dividend. For FY2026 (ending March 2026), the no-dividend policy will continue due to the ongoing need to secure working capital.

Dividend Policy

For FY2025 (ended March 2025), the company recorded a net loss attributable to owners of the parent, and retained earnings, which serve as the source of dividend payments, were negative, resulting in no dividend. Class E preferred shares also received no dividend. For FY2026 (ending March 2026), the company will continue efforts to improve business performance and financial condition, but as the need to secure working capital remains, the policy is to pay no dividend. Under the Articles of Incorporation, there is a provision for an interim dividend with a record date of September 30 each year, but the number of dividend payments per year has not yet been determined.

ESG

Conducted 1.5°C and 4°C scenario analysis based on TCFD recommendations, and obtained third-party assurance for Scope 1-3 emissions in FY2024. Aiming for future SBT certification, the company also achieved a 100% supplier sustainability self-audit implementation rate, 100% code of ethics training completion rate, and 94% male childcare leave uptake rate. The ratio of female managers remains at 2.9% (FY2026 target: 3.8%), indicating DEI promotion remains a challenge.
