Governance
The Board of Directors consists of 6 members (3 outside directors, 50% outside ratio), and as a company with a Board of Corporate Auditors, holds regular Board meetings 17 times per year. A voluntary Personnel and Compensation Advisory Committee, composed mainly of independent outside directors, has been established to handle both nomination and compensation functions.
Risk Management
The Corporate Audit Department (5 members), reporting directly to the Representative Director, oversees internal audits and implements normal-time and emergency management based on the Risk Management Regulations. The Risk and Compliance Committee (chaired by the CRO), under the Sustainability Committee, identifies and assesses materiality-related risks and opportunities on a semi-annual basis, with the Board of Directors providing oversight of this framework.
Shareholder Returns
Continuing the performance-linked dividend policy targeting a consolidated payout ratio of approximately 35%. The year-end dividend for FY2026 (ending March 2026) is ¥60 per share (total dividends of ¥3,944 million, payout ratio of 35.2%). For FY2027 (ending March 2027), a dividend of ¥64 per share (payout ratio of 35.3%) is planned. Share buybacks conducted are minor (¥3 million).
Dividend Policy
The basic policy is to maintain dividends supported by business performance, targeting a consolidated payout ratio of approximately 35%, comprehensively taking into account business performance and financial condition. The year-end dividend for FY2026 (ending March 2026) is planned at ¥60 per share (following the 1-for-5 stock split effective March 1, 2026), and ¥64 per share is planned for FY2027 (ending March 2027).
ESG
As part of its climate change response, the company is promoting the introduction of renewable energy through Corporate PPAs (CPPA) and other measures, achieving an approximately 78.8% reduction in domestic Scope 1+2 emissions in FY2025 compared to FY2019. It has also achieved a 92.3% sales ratio for environmentally friendly products (SM-ECP) and a 99.4% waste recycling rate, while working on talent development and diversity promotion toward its target of 10% female managers by FY2033.
