Governance
The company has adopted the Company with an Audit and Supervisory Committee structure, and in addition to the Board of Directors (11 directors, including 6 outside directors), it has established a voluntary Nomination and Compensation Advisory Committee to strengthen governance. Five of the outside directors are registered as independent officers, and an independent outside director serves as chair of the advisory committee.
Risk Management
The Company has established a Risk Management Committee, chaired by a director and composed of members at department head level or above, which conducts risk assessment, management, and mitigation across the Group. It coordinates with various committees, including the Sustainability Promotion Committee and the Compliance Committee, to build a framework for comprehensively managing Group-wide risks, including climate change risk.
Shareholder Returns
Annual dividend for FY2026 (ending March 2026) is ¥55 per share (interim ¥20 + year-end ¥35), with a payout ratio of 164.7%. The dividend is planned to be increased to ¥60 for FY2027 (ending March 2027). The company continues its progressive dividend policy targeting a DOE of 3% or more and a payout ratio of 40% or more. It acquired 1,078,600 treasury shares (¥1,406 million) and plans to retire 1,129,400 shares in May 2026.
Dividend Policy
The company aims to maximize shareholder returns by securing a robust capital base to strengthen its sound financial foundation while pursuing improved capital efficiency. It seeks to implement stable dividends over the long term and aims to increase dividends in line with mid- to long-term profit growth. With a progressive dividend approach in mind, the company implements dividends targeting a DOE of 3% or more and a consolidated payout ratio of 40% or more.
ESG
The company has conducted scenario analysis based on TCFD (2°C and 4°C scenarios) and disclosed CO2 emissions for Scope 1, 2, and 3 (total of 190,905 t-CO2 in FY2024). In terms of human capital, the company has set a target of raising the ratio of female managers to 25% by 2030, and is promoting diversity and work-style reforms, including obtaining Eruboshi certification and the Kurumin mark.
