Governance
The company has adopted the structure of a Company with an Audit and Supervisory Committee. The Board of Directors consists of 7 members (including 4 outside directors), and a voluntary Nomination and Compensation Advisory Committee (a majority of whose members are outside directors) has been established. The Board of Directors met 18 times during the fiscal year under review.
Risk Management
The Company has established internal regulations, including risk management rules, and has built a system to list key risks, monitor them periodically, and report to the Board of Directors. For material contracts, the Company obtains opinions from its retained legal counsel, and it has also formulated a business continuity plan (BCP), established an information security policy, and operates a helpline.
Shareholder Returns
For FY2026 (ending March 2026), the year-end dividend per share is ¥8 (an increase from ¥5 in the previous fiscal year), with total dividends of ¥76 million and a payout ratio of 23.4%. Due to the planned delisting on July 29, 2026 following a share exchange with Gakken Holdings, the dividend forecast for FY2027 (ending March 2027) has not been disclosed.
Dividend Policy
The basic policy is to pay a year-end dividend once per year. For FY2026 (ending March 2026), the dividend per share is ¥8 (total dividends of ¥76 million, payout ratio of 23.4%, dividend-on-equity ratio of 3.6%). In the previous fiscal year (FY2025, ended March 2025), the dividend per share was ¥5 (total dividends of ¥47 million, payout ratio of 17.6%), and in the fiscal year before that (FY2024, ended March 2024), the dividend per share was ¥13. Note that, due to a share exchange making Gakken Holdings the wholly owning parent company (effective date scheduled for July 31, 2026), the company is scheduled to be delisted on July 29, 2026, and has therefore refrained from disclosing a year-end dividend forecast for FY2027 (ending March 2027).
ESG
The company positions human capital as a key management priority, implementing initiatives such as respect for diversity, skill development support, stress checks, and promotion of women's participation. The proportion of women in management positions stands at 48.0%. Regarding climate change, the company has not yet implemented TCFD disclosure but voluntarily discloses CO2 emissions and other data.
